GREEN FLASH BREWING COMPLETES PREVIOUSLY ANNOUNCED SALE TO INVESTOR GROUP – ANNOUNCES ADDITION OF DAVE MILLS AS NEW VICE PRESIDENT OF SALES

in /by

Award-winning San Diego brewery emerges from the sale with stabilized financial position and streamlined operations

San Diego, CA – San Diego-based Green Flash Brewing Company is excited to announce the completion of the previously-announced sale of its West Coast brewing operations. The new investor group, which includes a number of individuals with extensive experience in both the craft beer and food and beverage industries, is committed to maintaining Green Flash’s status as an iconic independent craft-brewing interest. With this new financial backing and focus, Green Flash will return to its Southern California roots, while consolidating distribution of its beers and those of sister-brand Alpine Beer Company to San Diego County and the greater Southwest.

Green Flash Brewing Company emerges from the sale with a stabilized financial position and streamlined operations. Green Flash has ceased operations at its production brewery in Virginia Beach, Va., its barrel-aging facility in Poway, Ca., and completed its transition from national to regional distribution. The company will focus on brewing exceptional beer, connecting with customers, and building the brands in the core markets of California, Arizona, Colorado, Hawaii, Nevada, Texas, Utah, and Nebraska.

The Green Flash and Alpine breweries will continue to operate in San Diego and Alpine, respectively. Meanwhile, the Green Flash Brewhouse & Eatery in Lincoln, Neb. will open in April, and will brew specialty beers serving the state of Nebraska. This brewery will serve as the model for future customer connection points in the Southwestern United States.

Green Flash Brewing Company is also announcing some changes to the management team, led by the announcement of Dave Mills as new Vice President of Sales and Business Development. Dave, who previously served as Chief Sales Officer at Ballast Point Brewing Company, will manage all sales and trade marketing activities. Dave said, “I am stoked to join the Green Flash team in my hometown of San Diego. The Green Flash and Alpine brands are iconic in San Diego beer culture. This opportunity is the dream of a lifetime and I can’t wait to begin my new adventure.”

Dave will replace Jim Kenny, who served as VP of Sales for the last eight years. Jim leaves a legacy, as he spearheaded growth for Green Flash from 14,000 to over 90,000 barrels per year at its peak. “Jim’s Hungwah-spirit and GSD work ethic pushed us to great heights,” says Hinkley, who added, “I wish Jim all the best and I know he will find a great position in the beer business.”

Mike Hinkley, who started Green Flash 16 years ago, will lead the company. Chris Ross, President, will leave the company. Chris was appointed President in late 2016 and did an outstanding job guiding the company through some difficult times over the past two years. “Chris helped reshape the company, making this transaction possible. We are all very grateful to him for all of his efforts,” said Hinkley.

Other key management roles include Erik Jensen – Vice President of Brewing Operations, Dave Adams – Vice President of Hospitality, Nicole Hanlon – Director of Human Resources, and Katie Wolbrink – Controller.

The investor group was represented by Livingstone Partners, an international middle market M&A firm with seven offices located in the United States, Europe and Asia.

GREEN FLASH BREWING ANNOUNCES TRANSACTION WHICH WILL PROVIDE A SUCCESSFUL RETURN TO SOUTHWEST ROOTS

Award-winning San Diego brewery to strategically streamline and consolidate operations utilizing resources and expertise of new investors

San Diego, CA – Green Flash Brewing Company is excited to announce a transaction involving a new investor group committed to maintaining Green Flash’s status as an iconic independent craft-brewing interest. With this new financial backing and focus, Green Flash will return to its Southern California roots, while consolidating distribution of its beers and those of sister-brand Alpine Beer Company to San Diego County and the greater Southwest.

As a part of this strategy, Green Flash Brewing Company will cease operations at its production brewery in Virginia Beach, Va. Over the past two years, the company has been under significant pressure due to the cost and complexity of bi-coastal operations. With a stabilized financial position and streamlined operation, the focus will be on brewing exceptional beer, connecting with customers, and building the brands in the core markets of Arizona, California, Colorado, Hawaii, Nevada, Texas, Utah, and Nebraska.

“We have faced a host of significant challenges since expanding our operations to the East Coast and, though a rewarding endeavor in many ways, we feel this course-correction is prudent at this time and will ensure the independence, fiscal viability, identity and quality of the Green Flash and Alpine brands,” says Green Flash co-founder and CEO Mike Hinkley. “That said, I am deeply saddened to close our Virginia Beach facility and say good-bye to 36 employees who worked hard to make our amazing brewery, tasting room and beer garden a special place. I hope another brewery will move in and operate this wonderful facility with and for the people of Virginia Beach.”

Distribution into all East Coast markets will also be discontinued, resulting in the elimination of seven sales positions. “I am very disappointed to stop sending Green Flash and Alpine beer to our East Coast distribution partners, retailers, and fans. I have enjoyed so many great relationships that I am sad to see come to an end,” says Hinkley. “Our salespeople are best-in-class and I encourage local breweries in their regions to hire them right away.”

The Green Flash and Alpine breweries will continue to operate in San Diego and Alpine, respectively. Meanwhile, the Green Flash Brewhouse & Eatery in Lincoln, Neb. will open as scheduled in April, and will brew specialty beers serving the state of Nebraska. This brewery will serve as the model for future customer connection points in the Southwestern United States.

About Green Flash Brewing Co.

Green Flash Brewing Co. is headquartered in San Diego, California, and was established in 2002 by co-founders Mike and Lisa Hinkley. Brewmaster, Erik Jensen, leads brewing operations. Green Flash is an award-winning brewer of fine, craft ales, and specializes in brewing assertive and distinctive beers, such as nationally acclaimed West Coast IPA: an award-winning beer whose wide acceptance has helped define a category. In early 2018, Green Flash will open a Brewhouse and Eatery in Lincoln, NE.

GREEN FLASH TO FOCUS DISTRIBUTION ON CORE MARKETS

in /by

Company streamlines operations around its breweries and core markets

Green Flash will streamline its distribution reach and focus sales and marketing efforts on core U.S. regions with the most efficient access to the Company’s San Diego and Virginia Beach breweries. This strategic re-focus will enhance the Company’s operations and provide consumers with the freshest beer possible. Concentrating sales and marketing efforts on a more focused geographic footprint will accelerate sales velocity, increase inventory turnover, and result in more than 90% of all shipped Green Flash and Alpine beer arriving the same day that it is shipped.

Beer brewed and packaged in San Diego will ship to Arizona, California, Colorado, Hawaii, Nebraska, Nevada, Texas, and Utah. Beer brewed and packaged in Virginia Beach will ship to Connecticut, Delaware, Maryland, New Jersey, New York, North Carolina, Ohio, Pennsylvania, Tennessee and Virginia. These East Coast states have collectively become the fastest growing Green Flash region, benefiting greatly from the Virginia Beach brewery’s first full year of production in 2017.

The Green Flash Brewhouse & Eatery in Lincoln, Nebraska will open as scheduled in the first quarter of 2018, and will brew beer serving the state of Nebraska. The Company is excited to build the Green Flash and Alpine brands in Nebraska, which will serve as the model for future Green Flash geographic expansions.

This strategic initiative has resulted in 15% of the Company’s workforce transitioning out of the Company. No employees working in Green Flash’s tasting rooms and no Alpine Beer Company employees were impacted. “We are sorry to lose these valued team members. They are all talented and passionate individuals who have contributed to Green Flash,” shared Mike Hinkley.

“Re-focusing our distribution was a difficult decision that we did not arrive at lightly,” says Chris Ross, President, “we are grateful to our friends working at the distributors and retailers that made it possible for our fans to enjoy Green Flash beer over the years.”

GREEN FLASH ANNOUNCES NEW 2018 PRODUCTS AND PLANS

in /by

National Debut of Remix IPA, Innovative Draft Offerings, and Continued Regional Expansion

After hosting 15th anniversary celebrations at breweries on both coasts, Green Flash Brewing Co. reveals plans for 2018. Drawing on their legacy as an IPA powerhouse, Green Flash introduces Remix IPA – a new IPA showcasing old-school hops and a modern IPA flavor profile. It offers craft beer consumers the hop-character and quality they have come to expect from the brewery that trademarked West Coast IPA. Remix IPA is 6.2% ABV, and will be available nationwide on draft, in 6-packs of 12oz cans, and in 19.2oz single-serve cans. As the brewery refines their packaged beer assortment, Remix IPA is the only new packaged beer offering that will join the robust Green Flash portfolio. The brewery will also focus on new national draft beer offerings, with four innovative seasonal releases scheduled to debut throughout 2018.

“Remix IPA is an extremely exciting new single IPA release for Green Flash,” says Mike Hinkley, Green Flash Brewing Co. Co-Founder and CEO. “Our brewers are taking the skills learned over the past 15 years of brewing awesome IPAs to create the next iconic front-line beer in the Green Flash portfolio.”

Remix IPA features piney and dank flavors from Green Flash’s “legacy hops” – Cascade, Columbus and Summit. The metallic gold packaging offers a dynamic brand story that draws a parallel between hip hop DJs and the Green Flash brewers – suggesting that the brewing team is skillfully remastering both ingredients and process to create the brand’s next big hit. Last year, Green Flash introduced their Blonde Ale, GFB in 19.2oz single-serve cans, a move that has multiplied their presence in national convenience store chains. Seeking to expand on this success, the brand will offer Remix IPA in both 12oz 6-packs and 19.2oz single-serve cans. Remix IPA will be priced in line with their GFB Blonde Ale.

“We love West Coast IPA, so we decided to come up with a beer that echoes its best attributes with a lower ABV and lighter color and body,” explains Brewmaster, Erik Jensen. “Remix IPA is not quite as hoppy as our flagship brew, but it is unmistakably a world-class Green Flash IPA. It will definitely be my go-to beer next year.”

Harnessing the talents of their brewers in San Diego and Virginia Beach, the 2018 draft lineup will include original beers inspired by pilot-brew releases from company’s Genius Lab and research and development programs. The Genius Lab initiative encourages brewers and staff from all areas of the organization to submit and develop beer recipes which are then served in the tasting rooms. The forthcoming national draft releases include four of their most successful small-batch brews including the winter release of CaCow Milk Stout (6.3% ABV), spring-summer release of The Wit is It – a Belgian-style White Ale (4.8% ABV), the Fall release of the brewery’s annual Treasure Chest IPA (7% ABV) – this year’s offering is an inventive IPA brewed with unique yeast strain. Still in development is a Genius Lab-inspired 16th Anniversary brew which will release nationwide on draft at the end of 2018.

In addition to Remix IPA and the four draft releases, Green Flash will continue to produce the following beers in 2018 as part of their front-line: West Coast IPA – Double India Pale Ale, Soul Style IPA – India Pale Ale, GFB – Blonde Ale, Passion Fruit Kicker – Wheat Ale with Passion Fruit, and Sea to Sea Lager – Zwickel Lager.

They will be retiring the following beers in 2018: Tangerine Soul Style IPA, Dia de los Serranos Stout with Serrano Chiles, Imperial IPA, and Cosmic Ristretto Baltic Porter with Espresso. Green Flash will no longer be producing 22oz large format bottles, and will be re-introducing their award-winning Belgian-style, Le Freak in a cork-finished 750ml bottle as part of the offerings from their Cellar 3 facility. Green Flash will continue to release rare and barrel-aged beers from Cellar 3 to include: Wild Fox – Barrel-aged Wild Ale (6.0% ABV), Flanders Drive – Barrel-aged Sour Red Ale (7.7% ABV), Rayon Vert – Belgian-style Wild Ale (7% ABV), Sugar Smack – Belgian-style Dark Ale (9.1%), Peach Natura Morta – Barrel-aged Wild Ale with Peaches (6.5%), and Spectral Chaos – Barrel-aged White India Pale Ale (8.5%).

“We are currently focused on reducing overall SKU count while expanding distribution of core brands as well as amplifying our brand’s impact in key regions,” explains Chris Ross, Green Flash President and COO. “As we near completion of our Lincoln, Nebraska brewhouse and restaurant, we are continuing our search for opportunities to expand. We look forward to opening upwards of four new outposts in cities across the country over the next 2 years.”

About The Treasure Chest Program:

Established in 2011 by Green Flash Co-Founder and breast cancer survivor Lisa Hinkley, Treasure Chest is an annual fundraising program to raise money for breast cancer charities. Each year, the brewery releases a limited-edition beer and hosts events from coast to coast. The program has raised over $330,000 for Prevent Cancer at the national level as well as regionally for Susan G Komen San Diego and Susan G Komen Tidewater (Virginia Beach, VA).

ABOUT SUSAN G. KOMEN SAN DIEGO®:
Since its inception in 1995, Komen San Diego has raised more than $13 million to fund local non-profits who provide everything from free diagnostic mammograms and surgeries to meal delivery, child care and temporary financial aid. Seventy-five percent of every dollar raised in San Diego stays right here in San Diego County to fund free diagnostic mammograms and provide financial assistance for treatment and services for uninsured and underinsured women and their families. The remaining 25 percent funds international breast cancer research. In fact, next to the U.S. government, Susan G. Komen® is the largest funder of breast cancer research in the world.
